Terms of Service

Acceptance

WeMakeSites (company number 2026/527655/07) enters into these terms with clients. Agreement occurs by requesting, approving, or paying a quote.

Services

The company designs and builds custom websites, web applications, integrations, content architecture, performance optimization, analytics configuration, and post-launch support or growth retainers.

Quotes, Scope & Changes

• Quotations remain valid for thirty days from issuance
• Project scope defined in proposals; assumptions and client duties listed there
• Out-of-scope modifications require written change orders with pricing and scheduling

Timelines & Responsibilities

An estimated schedule with milestones is provided. Delays in feedback, content, or access extend timelines proportionally. Clients must supply timely approvals, materials, and account credentials necessary for project completion.

Fees & Payment

• Milestone-based project billing with clear deliverables; monthly retainer billing applies to ongoing work
• Invoices due on stated date; unpaid invoices may halt work
• Taxes and government charges are additional

Expenses

Pre-approved third-party costs (domains, hosting, assets, fonts) billed at cost or paid directly by client.

Intellectual Property & Ownership

• Clients own final project code, content, and brand assets after invoice settlement
• WeMakeSites retains pre-existing tools and methodology, licensed within deliverables
• Third-party components remain under original licenses

Third-Party Services

Clients may use external providers for hosting, email, analytics, payments. Clients own accounts; provider terms apply.

Warranties & Disclaimers

Services provided with reasonable care. No guarantees on rankings, revenue, or specific outcomes. Services provided “as is” except where explicitly stated.

Limitation of Liability

Neither party liable for indirect or consequential damages. WeMakeSites's total liability capped at fees paid for services in the preceding six months.

Indemnity

Clients indemnify WeMakeSites against claims arising from client content, unlawful requests, or term violations.

Confidentiality

Both parties maintain confidentiality of non-public information except where legally required disclosure occurs.

Data Protection

Parties comply with POPIA and similar regulations. Personal data processing described in Privacy Policy. Data processing addendum available upon request.

Support & Care Plans

Post-launch support includes fixes, updates, backups, monitoring. Scope and response windows defined in quote or plan.

Suspension & Termination

• Either party may terminate for convenience with written notice; completed milestones invoiced; work-in-progress handed over upon payment
• Either party may terminate for material breach if not cured within fourteen days of written notice

Portfolio Reference

Clients permit project reference in portfolio. Footer credit link optional and removable upon request.

Governing Law & Disputes

South African law governs. Disputes resolved through negotiation, mediation, then Gauteng courts if necessary.

Changes to These Terms

Updates reflect new features or legal changes; effective dates updated. Existing projects continue under signed versions unless both parties agree otherwise.
